POSITIVE POP SONG CONTEST
RULES AND REGULATIONS

1. Each song submitted must be songwriter's original work. Songs may have multiple co-writers, but all prizes will be awarded only to the first writer named on the application. Contestant may submit as many songs as they wish, but each entry requires a separate cassette or CD, entry form, and lyric sheets, or a seperate online submission through Sonicbids. One check or money order, credit card payment, or Paypal transaction for multiple entries/categories is acceptable through snail mail, but you must pay one entry fee for each song submitted. (Entrance fee is nonrefundable. Positive Pop Song Contest is not responsible for late, lost, damaged, misdirected, postage due, stolen, or misappropriated entries.)

2. One (1) Grand Prize winning songwriter will receive full production and recording of one song.[This song does not need to be the winning song of the contest.] This includes up to 3 days of studio time at The Groove Portal and/or Yackland Studio where Worldwide Groove Corporation will provide professional programming of one music track, overdubs, and vocal production. [$3,000 value] Prize also includes one full day tracking with an engineer at Platinum Recording Lab* [$1,500 value], one full day of mixing at the Sound Kitchen* [$1,200 to $1,500 value] Song will also be professionally mastered at Venus Mastering [$100 value] [Grand prize does NOT include any transportation to and from Nashville, meals, or lodging in Nashville. Winner is responsible for all travel and accommodations.] Grand Prize winner will also receive a one (1) year membership to TAXI, the world's leading independent A&R company [$300 value] and one (1) year membership to NextHitWriters.com [$100 value]. Grand Prize winning songwriter will receive a scholarship for one (1) registration fee to GMA Academy Regional Talent Competition and Seminar [$250 value]. Grand Prize winner is responsible for all travel and lodging to this event. Grand Prize winner will receive a Fender acoustic guitar from Guitar Center [$170 value]. Grand Prize winning song will be presented to EMI for evaluation and possible publishing contract of that one song. Grand Prize winner will also receive a deluxe guitar accessory package from playlikeapro.com. Grand Prize winning song will be digitally distributed on a Positive Pop Song Contest compilation project, digitally released by Fabulation Records and distributed through CDBaby to the following legal paid download services: Napster, Apple iTunes, Music Match, Rhapsody, AudioLunchbox, BuyMusic, CatchMusic, EMEPE3, eMusic, MusicNet, NetMusic, Puretracks, RuleRadio, Sony Connect, Viztas**. This distribution agreement is non-exclusive. Winner will also be featured on the Positive Pop Song Contest website, and receive a Positive Pop Song Contest T-shirt and Pop Rocks Candy. Additional prizes may be added as sponsors are secured. 3. One Positive Pop Singer/Songwriter Award: Entrant who is chosen as the recipient of this award MUST HAVE SUNG THE LEAD VOCAL ON THEIR SONG DEMO and will be selected from among the grand prize winner and 15 digital distribution winners, and at the sole discretion of David Breen and The Breen Agency. Positive Pop Singer/Songwriter Award winner will have the opportunity to perform their winning song at one [1] live concert performance of an artist chosen by The Breen Agency. Artist and concert date will be chosen based on availability of artists, musical style of artists, and geographical location of concert performances [which means we will do our best to find a concert close to where you live]. Recipient will be responsible for all travel expenses to and from live performance including meals and lodging if necessary. Recipient is responsible for all musical equipment, players, and expenses incurred for this performance. Singer/songwriter Award winner will have the chance to receive three [3] free voice and artist development lessons from Kenyon Artist Development. Winner is responsible for all travel expenses to Nashville for these lessons. Winner will also receive one [1] year membership to NextHitWriters.com, and be featured on the Positive Pop Song Contest website, will receive a Positive Pop Song Contest t-shirt,

4. Fifteen (15) DIGITAL DISTRIBUTION WINNERS will be given digital distribution on a Positive Pop Song Contest compilation project, digitally released by Fabulation Records and distributed through CDBaby to the following legal paid digital distribution outlets: Napster, Apple iTunes, Music Match, Rhapsody, AudioLunchbox, BuyMusic, CatchMusic, EMEPE3, eMusic, MusicNet, NetMusic, Puretracks, RuleRadio, Sony Connect, Viztas**. This distribution agreement is non-exclusive. Winners also will be featured on the Positive Pop Song Contest website, and receive Positive Pop Song Contest T-shirt and Pop Rocks Candy. 5. Thirty-five (35) HONORABLE MENTIONS will receive an honorable mention certificate. Honorable mention winner names will be posted on Positive Pop Song Contest website, and receive a Positive Pop Song Contest T-shirt, and Pop Rocks Candy.

6. All entries through U.S. mail, will receive a written evaluation of their song from professional music industry judges, provided they include a self addressed stamped envelope with their entry form. Entries submitted through Sonicbids are not eligible to receive judges critique sheets.

7. Contest is open to amateur and professional songwriters who have earned less than $5,000 in song royalties in 2003. No songs under a professional contract may be entered. Employees of Worldwide Groove Corporation,and their immediate families are not eligible.

8. All songs will be judged by qualified industry professionals [ie: publishers, songwriters, artists, record label employees, agents, and music producers] which means your song will be heard by an industry pro. Songs will be evaluated based on: lyrics [message, craft, originality], song structure, and melody [originality, memorability, appropriate for lyric]. Production quality of the demo will NOT affect the point rating given to the song. However, the 15 DIGITAL DISTRIBUTION winners will be distributed exactly as their song's recording was submitted. Prizes will be awarded to the first songwriter listed on the entry form. Void where prohibited. All federal, state, and local laws and regulations apply.

9. Winners will be notified by mail or through Sonicbids, and must sign and return an affidavit of eligibility/recording rights/publicity release within 14 days of notification date. The affidavit will state that winner's song is original work and the winner holds all rights to song. Failure to sign and return such affidavit within 14 days, or provision of false/inaccurate information therein will result in immediate disqualification and an alternate winner will be selected. Affidavits of winners under 18 years of age at time of award must be countersigned by parent or legal guardian. Affidavits subject to verification by Worldwide Groove Corporation and its agents. Entry constitutes permission to digitally distribute songs, and to use winner’s names, likenesses, and voices for future advertising and publicity purposes without additional compensation.

10. CDs, cassettes, and lyrics will not be returned. If songwriter includes a self-addressed stamped envelope, they will receive their written evaluations and a list of winners after all decisions have been made. Winners will be announced Fall of 2005 on the Positive Pop Song Contest website and through Sonicbids.

11. Entry fee is $25. Contest deadline is 8/15/05. Winners will be announced Fall of 2005 on the Positive Pop Song Contest website.

12. Songwriters retain all rights to their songs and lyrics unless Grand Prize winning song is signed to a publishing contract by EMI. This is negotiable.

13. Each submission via U.S. mail must include the following: completed and signed application [photocopies are acceptable as long as the signature is original], CD or audio cassette containing ONE SONG, 3 copies of lyric sheet typed or neatly printed, check or money order for $25 or if paying by credit card, all necessary credit card information on entry form. All credit card charges will appear on your statement from Worldwide Groove Corporation. Online submissions through Sonicbids are also accepted.

14. Contestant's submission of an entry into the contest constitutes his/her agreement to release, indemnify and hold harmless Positive Pop Song Contest, or Worldwide Groove Corporation and its agents from and against any claim, including, without limitation, of copyright infringement or other misappropriation, arising from any acts or omissions in connection with the contest or its operation. All Contestants must sign (i) an affidavit of eligibility and release of Positive Pop Song Contest, and all contest sponsors from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this promotion or the use or acceptance of the prize or any portion thereof to be eligible for the prizes; and (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes by Positive Pop Song Contest, and on worldwidegroovecorp.com and positivepopsongcontest.com without additional compensation. Entry into this Contest constitutes Contestant's agreement and availability to sign such releases.

15. Digital Distribution winners will receive fifty (50) percent of revenues for the digital downloads of their particular song, collected by Positive Pop Song Contest through CDBaby.com and its affiliates. Positive Pop Song Contest will issue quarterly payment to songwriter once the songwriter's share of the royalties reaches no less than ten U.S. Dollars ($10), and will be paid in ten dollar ($10) increments thereafter. If royalties are less than ten dollars ($10) in any given quarter, the balance will roll over to the next quarter until the total is at least ten dollars ($10). This payment will be made in U.S. Dollars, by check via US mail to the address listed on the songwriter's entry form. If songwriter's mailing address changes, it is the songwriter's responsibility to contact Positive Pop Song Contest with current contact information. Any returned mail will be held until songwriter updates mailing address. Digital download statements are available to songwriters upon request on a semiannual basis. To request such statements, songwriter may email song contest administrators.

16. If a Digital Distribution winning song is not under a current publishing contract, songwriter will have the option of forming their own publishing company through ASCAP, BMI, or SESAC, or signing the song to Worldwide Groove Publishing. The song must have a publisher before digital distribution can occur. Failure to form a publishing company or sign a release to Worldwide Groove Publishing by a certain date will disqualify song from digital distribution. Songwriter will relinquish all rights to any prizes connected to their Digital Distribution award, Singer/Songwriter Award, or Grand Prize Winner Award, and another winner will be chosen.

17. Pop Rocks Candy will be given the first 200 contest entrants. First 200 entrants will be determined by the post mark on their entry. One packet of Pop Rocks Candy will be mailed to entrants with their judging sheets. Any entrant who does not submit their entry through U.S. mail, and include a self-addressed stamped envelope will not receive their Pop Rocks Candy. If you do not like Pop Rocks Candy, give it to your little brother or your friend or your friend's little brother or someone who could use a lift. We are not responsible for any problems caused by consuming Pop Rocks and carbonated beverages together. If your stomach blows up, don't come running to us. You should have learned your lesson from that Mikey kid on the Life cereal commercial.
